Abstra Nexus is a proprietary digital infrastructure and platform provided, maintained, and unilaterally controlled by Abstra Studios OU, a duly registered Estonian private limited company, including but not limited to its founder, agents, or legal delegates acting in any capacity—whether explicitly stated or not—on behalf of the aforementioned company. This document constitutes a formal, irrevocable agreement between you (the “User”) and the Company. By accessing, browsing, creating an account, making a payment, or interacting in any way with the platform or its affiliated services, you voluntarily and unconditionally agree to be bound in perpetuity by the totality of these Terms.
Any dissent, hesitation, or misunderstanding regarding the clauses herein is grounds for immediate denial of service.
This is a legally binding agreement. Proceed only if you fully understand and accept all terms.
EXPANDED DEFINITIONS
“Company” / “Abstra Studios OU”: The governing legal entity, including its subsidiaries, agents, founder(s), employees, or any third party acting under its instruction.
“User” / “You”: Any individual, entity, machine, or automated system interacting with the platform in any form.
“Platform”: The totality of digital interfaces, services, databases, systems, APIs, and other tools provided by Abstra Nexus.
“Engagement”: Any action involving the platform, from browsing to executing automated API calls.
“Founder’s Authority”: The founder’s discretionary legal and financial right to act on behalf of Abstra Studios OU in matters of commerce, operations, and enforcement.
“Abstra Nexus”: The SaaS platform product delivered by Abstra Studios OU.
ELIGIBILITY TO CONTRACT
Only individuals or entities with full legal capacity—recognized by both local and international law—may access the Platform. Minors, legally incapacitated persons, or those acting under coercion or false identity are hereby forbidden from entry. Violation of this section may result in legal escalation, including criminal prosecution.
SERVICE OFFERING — NON-NEGOTIABLE NATURE
Abstra Nexus offers modular and evolving services including, but not limited to:
Enterprise Resource Planning (ERP) modules
Internal scheduling and calendar features
A digital contact registry and organizational phonebook
A built-in CRM (Customer Relationship Management) system
A dynamic job board and freelance/gig access channel
An accounting module (see disclaimer below)
All services are provided “as is,” with no guarantee of continuity, uptime, updates, improvements, or technical compatibility. Any and all services may be altered, suspended, or terminated without prior notice or obligation.
Your reliance on the stability or consistency of the Platform is entirely at your own risk.
Accounting Disclaimer: The accounting module within Abstra Nexus is provided for internal recordkeeping and operational tracking purposes only. Invoices, credit notes, tax statements, and similar financial documents generated within the Platform are NOT legally binding or compliant with government fiscal regulations unless otherwise authorized. The User acknowledges and agrees that any legally compliant invoices or tax documents must be created, reviewed, and submitted independently, through the appropriate certified methods or government-mandated systems. The Company assumes no liability for documents erroneously presented as legal, fiscal, or tax-compliant if generated within the Platform.
Job Portal Disclaimer: The dynamic job board and freelance/gig application features do not guarantee employment or financial opportunity. These modules are offered as a semi-exclusive channel to apply for roles with companies that may be partnered with Abstra Studios OU or internally sourced by the Company. The User agrees that no employment, contract, income, or opportunity is promised or implied through usage of these features. Lack of successful placement shall not be considered grounds for refund, chargeback, or dispute.
Beta Disclaimer: Abstra Nexus is currently operating in its Beta Phase. As such, the Platform and its associated features are in active development. Features may be altered, deprecated, suspended, or permanently removed at any time without prior notice. Likewise, service uptime may be irregular, degraded, or entirely unavailable without explanation. By using the Platform, you acknowledge and accept that technical instability, feature shifts, and limited support are inherent to this stage of development.
ABSOLUTE ACCOUNT RESPONSIBILITY
You shall:
Maintain full control and secrecy of login credentials.
Accept total liability for all activity occurring under your user session, IP address, or related technical identifiers.
Immediately report any security breach, with failure to do so interpreted as intentional negligence.
Should an unauthorized action occur under your credentials, you will be treated as the actor unless definitive evidence proves otherwise.
PAYMENTS, NO REFUNDS, AND MERCILESS CHARGEBACK POLICY
PAYMENT TERMS
All fees, subscriptions, and invoices are payable in full and in advance, unless otherwise stated in a written contract signed by both parties. Payments may be made directly to Abstra Studios OU or, without limitation, to the founder acting with delegated authority.
NON-REFUNDABILITY DECLARATION
You agree, without ambiguity or exception, that:
All transactions are final.
No refunds shall be issued under any circumstance.
Dissatisfaction, buyer’s remorse, technological incompatibility, or idle use shall not constitute valid grounds for reimbursement.
CHARGEBACK REPUDIATION & LEGAL ENFORCEMENT
Chargebacks filed without prior written communication and mutual agreement shall be construed as attempted fraud. Upon such action, the Company may, at its sole discretion:
Instantly terminate your account and delete data.
Pursue civil and/or criminal proceedings.
Recover losses through debt collectors, legal action, and international arbitration.
Report your identity to online merchant blacklists and fraud watchlists.
This clause shall survive any contract termination and will be enforced with full prosecutorial force.
LICENSE LIMITATIONS
Your license to use the Platform is revocable, limited, and strictly conditional. You may not:
Modify, reproduce, or distribute source materials
Decompile or hack system architecture
Use the system for competitive research or derivative creation
Violators may be pursued under copyright, intellectual property, and trade secret law.
DATA OWNERSHIP & GDPR NOTICE
While you retain copyright over your content, you hereby:
Grant Abstra Studios OU full legal license to handle your data
Authorize anonymized data retention for security, analysis, and improvement
Acknowledge that non-compliance with data laws is your responsibility alone
Requests under GDPR or related law may be honored at Company discretion and in accordance with current infrastructure capacity.
THIRD-PARTY ENTITIES
Integrations with external systems (e.g., Stripe, Google) are provided without guarantees of performance, security, or uptime. You accept full liability for any loss, breach, or malfunction caused by or related to such entities.
CONDUCT & ETHICAL BEHAVIOR POLICY
Your use of the Platform must remain lawful, respectful, and compliant. The following are strictly forbidden:
Misrepresentation or impersonation
Upload of malicious, harmful, or unethical content
Use of the platform to exploit, defraud, or harass
Any violation may result in:
Immediate account destruction
Permanent blacklist from all Company systems
Full legal pursuit across jurisdictions
AVAILABILITY & RELIABILITY DISCLAIMERS
We strive for uptime but guarantee nothing. Platform interruptions, errors, and data loss may occur. You waive all legal, financial, and reputational claims resulting from such occurrences.
UNILATERAL TERMINATION RIGHTS
The Company may, without appeal, terminate, suspend, or restrict your access:
For any violation or perceived violation
Upon initiation of a chargeback
Due to operational concerns, technical conflicts, or policy changes
All terminations are permanent and non-reversible.
LIABILITY WAIVER
Abstra Studios OU and its representatives shall in no event be held liable for:
Damages of any kind
Lost profits, reputational harm, or data destruction
Any consequence, direct or indirect, of using the Platform
Total liability shall not exceed:
The last 30 days of fees paid by the User
LEGAL INDEMNITY
You agree to defend, indemnify, and hold harmless Abstra Studios OU, its founder, and associates against any claim, loss, or penalty arising from:
Your breach of these Terms
Your misuse or abuse of the Platform
Your violation of any law or third-party rights
This includes legal fees, court costs, and reputational damages.
GOVERNING LAW & LEGAL VENUE
This Agreement is governed by the laws of the Republic of Estonia. Disputes shall be resolved solely in the courts of Tallinn, with no recourse to collective action or arbitration elsewhere unless compelled by EU directive.
MODIFICATIONS & VERSION CONTROL
This document may be updated without notification. Your continued use of the Platform constitutes acceptance of all changes, whether or not you were explicitly informed.
